These terms of use (referred to below as 'The Terms of Use') are applicable to the website www.panasonicPROclub.com (the 'Website') owned and operated by Panasonic Marketing Europe GmbH, Hagenauer Straße 43, 65203 Wiesbaden, Germany and its group companies and subsidiaries (referred to collectively below as 'Panasonic').

By using our site, you indicate that you accept these terms of use and that you agree to abide by them.

1. Accessing the Website

(1) Access to the Website requires a registration as 'User'.

(2) Registration is open for Companies and Professionals in the Heating and / or Cooling Business in Europe. Natural Persons must be at least 18 years of age. Companies must be registered by a contractually capable and legally authorized representative natural person.

(3) The Registration requires

d. Date of Birth of registering natural person
e. Business Address
f. Business Phone Number
g. Business Fax Number
h. Business Email Address

After Registration, the data will be checked for completeness and apparent correctness. In case there are no apparent errors, the registration will normally be accepted without undue delay and a user account will be opened for the User. Panasonic will inform via email about the status of the Registration.

(4) You agree to notify Panasonic immediately of any changes which are relevant to your registration by sending an email to proclub@eu.panasonic.com

(5)Panasonic reserves the right to refuse registration as a User or to terminate or suspend User's account (if any) at our discretion, including but not limited to situations where in our opinion details are not correct, current, or complete, or if in our opinion such action would be appropriate (including where it suspects the registration of multiple accounts/User profiles by the same individual).

(6)If the Website features a function, which allows the User to upload a User Profile, Panasonic does not check the Profiles regularly beyond the first examination at Registration. Panasonic does not accept any warranty for the correctness and completeness of the Users profiles.

(2)Passwords and Account details

Each User will receive a user name and a password. The password shall be changed after the first login. The User is responsible for maintaining the confidentiality of his or her password, account number, ID and other details (if any) and for all activities under User's account. Any unauthorized use of User's account or other breach of security should be reported to Panasonic immediately. User's registration and/or subscription is personal. It may not be disclosed or made available to others. Each User shall use the care of an orderly businessman to secure that no third persons will access its user account. Access by the User's employees and other personnel under the User's control are permitted.

3. Use of the Website

(1) The content and other information appearing on the Website are provided on 'AS IS' basis. Panasonic makes no representation and warranty, either express or implied, as to the accuracy, usefulness, or certainty of any of the content or other information appearing on the Website.

(2) The contents are only available within the technical and operating capabilities of Panasonic. Panasonic strives to secure the Website's availability without interruption, however, Panasonic reserves the right to change or discontinue any or all elements of the Website, including its structure, usage conditions, URL, and content or other information without prior notice especially for technical or operational reasons.

(3) Users are not allowed to collect, store and use personal data from other Users of the Website, unless other Users have declared their consent.

(4) Users are required to use the content of the Website properly at all times.

(5) Where Users log on in order to gain access to the Website or a part of it, where Panasonic provides a 'log-off', 'exit' (or similar) option, Users undertake to log off and exit from their account at the end of each session. Panasonic reserves the right to log off Users whose accounts are inactive for an extended period of time.

4. Intellectual Property and Utilization Rights

(1) Contents, such as text, photographs, images, software, trademarks, logos and product names on the Website are the Intellectual Property of or licensed to Panasonic.

(2) Panasonic grants to Users a free of charge, non-exclusive and non-transferable right to use the content for commercial purposes without the right to modify or alter the materials in any way, nor delete or change any copyright or trademark notice. Users may download and have contents be shown on their computer screens for instant use and printing. Users receive an unrestricted and unlimited right of use of such content. However, Users may neither copy, distribute, publish, exhibit, show, broadcast, make publically available nor reproduce content, unless explicitly provided otherwise. Some of the content may require a separate agreement, which Users will be asked to agree to before use.

(3) Upon Termination of this Agreement Users must end any use of the contents of the Website, unless a separate agreement was entered into for the use of such content or content was downloaded and printed in accordance with clause 4 (2) above.

5. Uploading content or material to the Website

(1) If and whenever you make use of a feature that allows you to upload material or post content to the Website, such material or content must not be illegal, offensive, abusive, indecent, defamatory, obscene or menacing, or in breach of copyright, trademark, confidence, privacy or any other right, or is otherwise injurious to third parties, or objectionable, or which consists of or contains software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any 'spam' . You warrant that any such contribution does comply with the above, and you indemnify Panasonic for any breach of that warranty.

(2) Any material you upload to our Website will be considered non-confidential and non-proprietary, and Panasonic has the right to use, copy, distribute and disclose to third parties any such material for any purpose. Panasonic also have the right to disclose your identity to any third party who is claiming that any material posted or uploaded by you to the Website constitutes a violation of their intellectual property rights, or of their right to privacy.

(3) Panasonic will not be responsible, or liable to any third party, for the content or accuracy of any materials posted by you or any other user of the Website.

(4) Panasonic has the right to remove any material or posting you make on the Website if, in Panasonic's opinion, such material does not comply with the content standards set out in clause 5 (1) above.

6. Software and Tools provided on this Website

For any software and web application based tools available on this website and other websites controlled by Panasonic Marketing Europe GmbH which are linked by this website (together “Software”) the following shall apply in addition to these Terms unless otherwise stipulated by the respective terms provided with the Software.

Any Software on this Website is provided as is without any warranty obligation or guarantee. In particular without limiting the foregoing, Panasonic does not warrant an error-free or uninterrupted performance of any Software, and the Software shall not be deemed fit for any purpose.

Any result or whatsoever provided by the Software on this website shall be for information only. Panasonic does not take over any responsibility for the accuracy of any information, result or whatsoever processed or obtained through any Software provided on this website.

Panasonic reserves the right to change any content of this website and any Software at any time without prior notice. In particular without limiting the foregoing, Panasonic reserves the right to remove, change or otherwise make disposal of any Software on this Website.

Third Party Links

The offer on this Website contains links to external websites of third parties, on whose contents we have no influence nor any control. Therefore, we cannot assume any liability or warranty for these external contents.

The respective provider or operator of such third party website is always solely responsible for the content of the linked pages. Please note, a continuous review of the contents of the linked third party websites is not reasonable without indication to a violation of the law.

If we become aware of any infringements, we will remove such links immediately.

7. Suspension of access rights

If Panasonic has reason to believe that User does not comply with any of the provisions in these Terms and Conditions or is in breach of other legal provisions in connection with the Website, Panasonic may suspend the User's access to the Website. Panasonic will inform the User via Email about the Suspension and the reasons therefore.

8. Liability

(1) Contents on the Website are provided free of charge. Panasonic does not assume any liability for conduct it is accountable for, unless it is caused intentionally or by gross negligence or in cases of physical harm.

(2) The material displayed on our website is provided without any guarantees, conditions or warranties as to its accuracy. Due to the constant evolution of our products, information on this Website may contain technical inaccuracies or typographical errors. Information may be changed or updated without notice. Panasonic may also make improvements and/or changes in the products and/or programs described in this information at any time without notice.

(3) Though Panasonic endeavors to ensure that the Website is normally available 24 hours a day, Panasonic shall not be liable if for any reason our Website is unavailable at any time or for any period. From time to time, the access to our Website may be suspended temporarily and without notice.

9. Termination

Both Parties may terminate this Agreement at any time in written form without prior notice.

10. Variation

Panasonic reserves the right to revise these terms of use at any time by amending this page even within existing contractual relations. Panasonic will inform Users at least 30 (thirty) days prior to the implementation of the variation via Email.

Should a User not object to the change within 14 (fourteen) days after receipt, variation will become valid on the day following the last of the 14 day objection period. Should a User object to the variation, the contract will be continued according to its original terms and conditions.

11. Jurisdiction

The courts in Hamburg, Germany will have exclusive jurisdiction over any claim and dispute arising from, or related to, use of our website.

12. Miscellaneous

Should any or part of any of the regulations of this Agreement be invalid, the rest of the regulations will continue to be valid, whereas the invalid regulation will be replaced by a regulation, which resembles the mutual intentions of the parties and passes legal requirements appropriately.
